Welcome to KeyLedger. Please read these Terms & Conditions carefully before accessing or using our software-as-a-service platform. By creating an account or using KeyLedger, you agree to be bound by the terms outlined below.
1. Acceptance of Terms
By accessing, registering for, or using the KeyLedger platform (accessible via web and mobile interfaces), you confirm that you are at least 18 years of age and legally competent to enter into binding legal agreements under Sri Lankan law.
If you are agreeing to these Terms on behalf of a business, boarding house entity, or property management organization, you represent that you have the authority to bind that entity to these Terms.
2. Description of Service
KeyLedger provides cloud-based software tools designed specifically for Sri Lankan boarding house owners, hostel managers, and property operators. Key features include:
- Student and tenant profile management.
- Monthly rental fee tracking, key money deposit management, and digital receipt generation.
- SMS payment reminders and WhatsApp receipt delivery integrations.
- Financial summary reporting and ledger exports.
KeyLedger serves as an administrative management utility. KeyLedger is not a bank, financial institution, legal tenant arbiter, or real estate broker.
3. Account Registration & Responsibilities
To use KeyLedger, you must create a verified account by providing accurate, current, and complete details, including your full legal name, boarding house address, primary phone number, and email address.
- You are solely responsible for maintaining the confidentiality of your login credentials.
- You must immediately notify KeyLedger of any unauthorized use or security breach.
- Accounts are non-transferable without prior written consent from KeyLedger.
4. Subscriptions, Fees & Billing
KeyLedger offers tiered subscription plans (e.g., Free Tier, Starter, Pro, and Enterprise) billed on a monthly or annual basis in Sri Lankan Rupees (LKR).
- Free Trial / Basic Tier: Subject to usage limits such as total active boarder count.
- Payment Obligations: Paid plans must be settled punctually. Failure to pay after a grace period of 7 business days may result in account suspension.
- Refunds: Subscription fees are generally non-refundable unless required by applicable law or explicitly stated in writing.
5. Tenant Data & Record Keeping
As a boarding house manager, you enter personal information regarding your student tenants (e.g., NIC numbers, emergency contacts, room allocations, key money balances).
You acknowledge and agree that you have obtained all necessary permissions and legal consents from your tenants to store and process their personal information within KeyLedger in compliance with the Sri Lanka Personal Data Protection Act (PDPA No. 9 of 2022).
6. Acceptable Use Policy
You agree not to use KeyLedger for any unlawful purpose, including but not limited to:
- Generating fraudulent digital receipts or inflated financial statements.
- Sending unauthorized or spam SMS/WhatsApp notifications to boarders.
- Attempting to reverse engineer, decompile, or bypass system security controls.
- Transmitting malicious software or introducing viruses into the infrastructure.
7. Intellectual Property Rights
All rights, titles, and interests in and to KeyLedger—including the design system, software, branding, receipts templates, and code—remain the exclusive property of KeyLedger and its licensors.
8. Limitation of Liability
To the maximum extent permitted by applicable law, KeyLedger shall not be liable for any indirect, incidental, special, or consequential damages resulting from data loss, system downtime, tenant dispute outcomes, or inability to access services.
9. Termination of Service
You may close your KeyLedger account at any time via your dashboard settings or by contacting customer support. KeyLedger reserves the right to suspend or terminate accounts that violate these Terms.
10. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka. Any legal action or proceeding shall be brought exclusively in the courts of Colombo, Sri Lanka.
